Terms of Use
In plain English
- JuriClerk is a research tool. It surfaces Philippine Supreme Court decisions that match your fact pattern and explains why.
- Anything JuriClerk produces is research assistance, not legal advice. Verify every citation, holding, and quote against the primary source before relying on it in practice.
- We're in beta. Features change. Quotas can shift. We'll give you reasonable notice for material changes.
- Don't scrape the Service, share your account, or use it to do anything illegal. Treat the service the way you'd treat a colleague's research notes.
- Philippine law governs these Terms.
1. Acceptance
These Terms of Service ("Terms") form a binding agreement between you and JuriClerk ("we," "us," or "our") governing your access to and use of the website at juriclerk.com, its subdomains, and the JuriClerk research service (together, the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy.
2. Eligibility and access
You must be at least 18 years old to use the Service. The Service is intended for Philippine lawyers, law students, paralegals, academic researchers, and other legal professionals. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
The Service is currently offered on an invite-only closed-beta basis. We may grant, suspend, or revoke access at our discretion during this period.
3. Your account
- You sign in using Google. You are responsible for the security of your Google account and any activity that occurs under your JuriClerk account.
- You agree to provide accurate information (including a valid work email, role, and, where requested, a verified mobile number) and to keep that information current.
- Accounts are personal and non-transferable. Don't share sign-in credentials with anyone — including colleagues at the same firm.
- Tell us promptly at contact@juriclerk.com if you suspect your account has been accessed without your authorisation.
4. Subscription plans, trials, and billing
JuriClerk offers FREE, STUDENT, and SOLO plans, with quotas and features described on the Usage and pricing pages. New SOLO accounts may include a 14-day complimentary trial; at the end of the trial period, accounts that have not converted to paid automatically downgrade to FREE.
When paid plans launch, fees are quoted in Philippine pesos and are inclusive of value-added tax unless otherwise stated. Subscriptions renew automatically on a monthly or annual cycle (as selected) until you cancel. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and we do not refund partial periods unless required by law.
We may change plan pricing, quotas, or features. We'll provide at least 30 days' notice by email for material changes that affect your subscription. If you don't accept the change, you may cancel before it takes effect.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in any way that violates a court order, regulation, or the rights of a third party.
- Scrape, crawl, or otherwise extract content from the Service by automated means, except via authenticated API endpoints we explicitly provide.
- Resell, redistribute, or sublicense access to the Service.
- Reverse-engineer, decompile, or attempt to derive the source code of the Service.
- Submit malware, attempt to compromise the Service, or interfere with its availability for other users.
- Submit content you don't have the right to submit. In particular, do not paste a client's confidential or privileged information unless you have the authority to do so and you understand that the query text will be sent to our AI sub-processors as described in the Privacy Policy.
- Use the Service to generate or train competing AI models or datasets.
Quota limits per plan exist to ensure fair use. We may rate-limit or temporarily suspend accounts that exhibit abusive patterns (for example, scripted requests or sharing across many users).
6. Not legal advice
JuriClerk is a research tool. It does not provide legal advice. Nothing produced by the Service — including case matches, relevance scores, summaries, holdings, quoted passages, or any other AI-generated output — constitutes legal advice, a legal opinion, or the formation of an attorney-client relationship.
AI systems can make mistakes. They can omit relevant cases, mischaracterise holdings, miss controlling authority, misattribute citations, and produce text that looks authoritative but is wrong. Before relying on any output in pleadings, briefs, advice to a client, or any other professional context, you must independently verify it against the primary source (the published Supreme Court decision). The full text of every cited decision is available on LawPhil.net and through the Supreme Court's own publications.
You alone are responsible for the use of the Service in your legal practice and for compliance with the Code of Professional Responsibility and Accountability and all applicable rules of court.
7. Your content and queries
You retain ownership of the fact patterns, queries, notes, and other content you submit ("Your Content"). You grant JuriClerk a non-exclusive, worldwide, royalty-free licence to host, process, transmit, display, and use Your Content solely as needed to operate the Service for you, to provide support, and to analyse de-identified usage to improve the Service.
We do not use the substance of Your Content to train third-party AI models. Sub-processors that touch Your Content are bound by contract not to retain Your Content for model training.
8. Source data and citations
JuriClerk indexes the text of Philippine Supreme Court decisions and related public materials, principally sourced from LawPhil.net (Arellano Law Foundation). These materials are in the public domain; we present them with extracted summaries, structured fields, and citation linking. Where we display third-party source text, attribution to the original publisher is preserved.
You are free to use the case text and citations the Service surfaces in your professional work, subject to the rules of court on citation and the underlying public-domain status of the source.
9. Intellectual property
The Service, including its design, software, the JuriClerk name and logo, the relevance-scoring methodology, the structured extractions (facts, issues, holdings, dispositions, categories), and all associated documentation, is owned by JuriClerk and protected by Philippine and international intellectual property laws. You may not copy, modify, or create derivative works of the Service except as expressly permitted.
Feedback you provide about the Service is given to us on a non-confidential basis, and we may use it without restriction or compensation.
10. Beta status and changes to the Service
The Service is in active development. We may add, change, or remove features, models, prompts, scoring weights, and quotas at any time. We don't guarantee any particular level of performance or accuracy during the beta period and we don't provide an uptime service-level agreement. We'll give reasonable notice for material changes that affect paid plans.
11. Termination
You may stop using the Service and delete your account at any time by writing to contact@juriclerk.com.
We may suspend or terminate your access to the Service if you breach these Terms, if your use exposes us or other users to legal or security risk, or if we are required to do so by law. We'll give notice and a reasonable opportunity to cure where appropriate.
Sections 6 (Not legal advice), 9 (Intellectual property), 12 (Disclaimer of warranties), 13 (Limitation of liability), 14 (Indemnification), and 16 (Governing law) survive termination.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, currency, and uninterrupted operation. We do not warrant that the Service will surface every relevant case, that AI-generated summaries are free of error, or that results are suitable for use in any specific matter without independent verification.
13. Limitation of liability
To the maximum extent permitted by law, JuriClerk, its directors, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities, arising from or related to your use of the Service, even if advised of the possibility of such damages.
In any case, the aggregate liability of JuriClerk arising from or related to these Terms or the Service shall not exceed the greater of (a) the total amount you have paid to JuriClerk in the twelve (12) months immediately preceding the event giving rise to the claim,.
Nothing in these Terms limits liability that cannot be limited under Philippine law, including liability for gross negligence, fraud, or wilful misconduct.
14. Indemnification
You agree to indemnify, defend, and hold harmless JuriClerk and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) any use of AI output from the Service in your professional practice without independent verification as required by Section 6.
15. Privacy
Our collection and use of personal data is governed by the Privacy Policy, which forms part of these Terms.
16. Governing law and venue
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. Any action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the proper courts of Makati City, Metro Manila, and you consent to the personal jurisdiction of those courts.
17. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or by a notice in the Service at least 30 days before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
18. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the complete agreement between you and JuriClerk on their subject matter and supersede any prior agreement.
- Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce a right or provision is not a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We will send legal notices to the email address on your account. You should send legal notices to JuriClerk by email to contact@juriclerk.com.
